Job Summary Manages, supervises and directs Clinical Contracting Services (CCS) in the drafting, negotiation, execution, review and tracking of clinical service and other business agreements for Duke Health entities.
Advises regarding proposed Duke Health business transactions supported by Duke Network Services (DNS).
Serves as the primary liaison with other offices within Duke Health concerning proposed activities and contract terms and conditions that require specialized input, such as the offices of counsel, clinical and corporate risk management, privacy and compliance, and DHTS.
Supports DNS in the role of an Executive Leadership Team Member.
Scope of Responsibilities: This position is responsible for advising DNS and other Duke Health leadership regarding various contractual relationships and making recommendations to promote consistency between relationships and with DUHS’s interest, practice, policy, and/or procedures.
Clinical service arrangements falling within the scope of this position include agreements for the provision and the procurement of patient care services, physician employment, clinical and non-clinical training rotations, various clinical funding requirements, educational and programmatic services, clinical affiliations, and internal Duke Health memoranda of understanding.
In addition, this position has responsibilities related to non-clinical business agreements, including non-disclosure and confidentiality, professional consulting services, licensed use of intellectual property and other business transactions as necessary to support DNS and other Duke Health entities developing relationships with external parties.
This position has management and oversight responsibility for leading and guiding the development of contracts to accompany a wide variety of contracts, including but not limited to: Management of a team of attorney and administrative support staff Maintaining oversight of the drafting and negotiation of high complexity contracts Advising with regard to consistency with and impact on DUHS’ and DNS overall interests, strategic plans and existing contractual arrangements Identifying business risks and providing advice and recommendations to facilitate decision making.
Providing health care regulatory advice to senior management and others as necessary related to new business ventures and legal/organizational arrangements.
Maintaining high level of knowledge regarding health care regulatory matters and guidance provided by Duke’s legal counsel, compliance officer and others, and advising senior management accordingly.
Duties and Responsibilities Planning and Management Manage all aspects of the day to day operations of the CCS office including direct oversight of CCS staff.
Develop, coordinate and maintain procedures that support the efficient drafting, negotiation, review, processing and monitoring of clinical service agreements so that they are executed timely and are in compliance with applicable legal, regulatory and Duke standards.
Produce, in collaboration with DNS senior administration and finance manager, the CCS annual budget.
Develop and maintain, in collaboration with DNS senior administration and finance manager, a methodology for allocating CCS as a resource to Duke Health entities outside of DNS.
Serve as the primary liaison to the Office of Graduate Medical Education, School of Nursing, School of Medicine and Office of Clinical Education and Program Development (CEPD) and other offices related to clinical and non-clinical education rotations for Duke Health learners and for learners from other institutions to complete clinical rotations at Duke Health for development of appropriate contracting processes to support their objectives.
Create, develop and present educational workshops related to contracting/legal/regulatory issues, and other professional development activities, for DNS staff that impact DNS’ business activities.
Establish methods for CCS to coordinate with the offices of counsel, compliance and risk management as needed to ensure that each agreement has all approvals and compliance requirements in place prior to execution.
Develop and maintain tools and procedures to track, execute, file and report contract activity as necessary.
Continuously track and analyze the volume and complexity of CCS work load compared to CCS resources.
Participate in, support and/or lead DNS committees or committee projects as requested to support the department’s strategic priorities Facilitate and function as a member of several teams using complex timelines and action plans.
Legal/Regulatory Advise Duke Health administrators and clinicians regarding the structure of proposed clinical service transactions, contractual requirements, liabilities and risks.
As needed, consult appropriate internal stakeholders in the offices of counsel, compliance and risk management as necessary to ensure advice is provided to business client for decision-making.
Provide advice regarding how to apply relevant Duke Health policies and guidance from internal stakeholders to achieve compliance.
Provide a broad range of business advice as requested by DNS and other Duke Health entities, departments and programs.
Perform analysis of complex federal and state laws and regulations regarding clinical services.
Remain abreast of changes in regulations, laws, and Duke Health policies applicable to contracted clinical services and other arrangements entered into by Duke Health.
Assist program administrators and clinicians by proposing alternative arrangements when available to achieve best result for Duke Health.
Financial Controls Analyze objective compensation data using approved Duke Health methodologies to facilitate and document confirmation by finance and business leaders that rates are compliant with applicable regulations.
Establish and maintain mechanism for review and approval of liability insurance and risk allocation provisions with Duke Health Clinical and Corporate Risk Management as appropriate and necessary.
Supervisory Supervise CCS attorney, and administrative support, staff members and coordinate work.
Manage, direct and supervise the review, drafting, negotiation, execution and tracking of a wide-variety of contractual agreements based upon Duke Health policies and procedures, and the legal, regulatory compliance and risk analysis of the offices of counsel, compliance and risk management.
Provide approval, or disapproval, of agreements negotiated within CCS prior to signature.
Advise staff on alternative solutions to contractual issues that arise in the context of negotiations.
Develop, implement and maintain contract quality control procedures.
Responsible for ensuring escalation to appropriate Duke Health office when agreement terms cannot be resolved through CCS negotiation.
Direct and coordinate various personnel functions including, but not limited to: hiring, performance appraisals, promotions, transfer and vacation schedules.
Set and maintain departmental goals and objectives to align with business needs and provide necessary and related training.
Perform other duties incidental to the work described herein.
Education and Experience: Education: Juris Doctor degree Experience: Minimum of 7 years of experience as an attorney drafting, reviewing, negotiating a variety of clinical service and other business agreements 3 years of experience in managing and guiding team members Or an equivalent combination of relevant education and/or experience Licensure: Licensed to practice law in the State of North Carolina Skills: This position requires the individual to draft, negotiate and manage complex contracts for DUHS and DU, as well as train, supervise and provide management oversight to experienced attorneys in doing the same.
A person with experience in an academic-based health care delivery system is preferred.
