What We Are Looking For:
The Associate General Counsel will report to the Chief Legal Officer and be responsible for providing legal counsel on a broad spectrum of corporate and insurance matters to the Aspida business.
The ideal candidate should have a strong foundation in corporate law, combined with expertise in insurance regulations, contracts, and risk management.
This is a hybrid role and is required to be on-site 3 days a week at our headquarters in Durham, NC.
What You Will Do:
· Provide legal and business counsel to senior management, board of directors and other key leaders of Aspida and Ares Insurance Solutions.
· Provide legal guidance on general corporate matters, including contract negotiation, corporate governance, and compliance.
· Draft, review, and negotiate a wide range of documentation related to the annuities business including operations and distribution.
· Stay abreast of insurance laws, regulations, and industry standards.
· Ensure corporate activities comply with applicable insurance regulations.
· Assess legal and regulatory risks associated with corporate and insurance activities.
· Provide training to internal teams on legal aspects of corporate and insurance operations.
· Coordinate and manage outside counsel, as needed.
· Effectively collaborate with other corporate functions as necessary (i.
e.
, risk, finance, investments, actuarial, tax, etc.
).
· Provide support for other major projects as and when they arise (e.
g.
, capital raising, finance, real estate, etc.
).
· Manage other attorneys as assigned.

Requirements:
What We Require:
· Bar admission in good standing in at least one state with the ability to be admitted in North Carolina.
· 7+ years of experience, including time spent in an in-house role.
· Experience with state insurance regulatory framework for insurance companies.
· Experience practicing law in the insurance industry, including annuities and distribution law.
· Clear and concise verbal and written communication skills.
· Self-motivated with strong interpersonal skills.
· Problem solver who is curious, skeptical, analytical, creative and detail-oriented.
· Ability to manage multiple projects in a fast-paced environment.
Preferred Requirements:
· Experience working at a private equity firm or other financial participant in the life and annuity insurance market.
· Experience with life and annuity products (particularly fixed and indexed annuities).
· Experience with securities and investment advisory laws.
· Experience with broker-deal regulations a plus.
· Experience with derivatives transactions a plus.
