Summary: Under the direction of licensed attorneys, provides a wide variety of paralegal functions, which may include drafting legal documents and contracts concerning business transactions and acquisitions, performing basic case management skills, and acting as a front-end interface with clients, staff and attorneys.
Interacts directly with these positions on a variety of recurring and non-recurring assignments involving legal matters in several programs and the Health Care System as a whole.
Responsibilities: Job responsibilities may include any combination of the following: 1.
Assist attorneys with coordination of contract review process 2.
Timely preparation, review and proofreading of a high volume and diverse range of agreements, with a focus on physician employment agreements, real estate leases and vendor contracts 3.
Revises contract language in partnership with attorneys 4.
Assists attorneys in creation, use and updating of template and form documents 5.
Organizing and routing high volume of agreements for timely execution.

Proactively engages in and leads contracting process improvement initiatives and implements smooth, speedy and efficient work flows.
7.
Serves as administrator for various UNC Health entities’ use of contract database, including responding to inquiries related to submission and use of database and training users of contract database.
8.
Handle corporate matters for UNC Health entities, such as drafting basic corporation formation documents for attorney review, filing corporate formation documents, filing assumed name certificates and filing annual reports for UNC Health entities.
9.
Organize and maintain corporate files, such as organizational documents, minutes and resolutions 10.
Assist in documentation production, redaction of documents and preparation of document notebooks and exhibits 12.
Coordinate with other business units within UNC Health entities on document productions, litigation holds, responses to subpoenas and other court filings 13.
Assist attorneys with file maintenance, case management plans, calendaring, invoice and check processing and routine communications with internal clients 14.
Under attorney direction, draft correspondence, pleadings, and legal instruments 15.
Extend best efforts and compassion, share ideas and feedback in a positive and professional manner, demonstrate a positive “can-do” attitude, speak well of the skills and professionalism of other departments and staff 16.
Perform research and assist with projects as assigned by attorneys 17.
Support the use of new technology, attend technology training sessions, demonstrate skill in using technology 18.
Performing general administrative duties, such as filing, organizing, and routing contracts for execution 19.
File documents with courts and administrative tribunals 20.
Create privilege logs 21.
Retrieve records 22.
Prepare exhibits, hearing notebooks, etc.

Manage court reporter scheduling and transcript procedures 24.
Provide basic administrative assistance as required 25.
Provide back up support to other paralegals 26.
Proofing, cite- and fact-checking documents 27.
The successful applicant must have a complete understanding of the various program purposes and objectives, the procedures under which programs operate and a complete understanding of the paralegal function.
The North Carolina General Statutes, State rules and regulations, and federal statutes and regulations are consulted regularly.
Procedures, precedents and model legal documents may be available but considerable interpretation may be necessary.
Other Information Education Requirements: Associate's degree or two years of college in an appropriate discipline.
Licensure/Certification Requirements: No licensure or certification required.
Professional Experience Requirements: Three (3) years of relevant experience.
If a bachelor's degree, only one (1) year of experience.
Knowledge/Skills/and Abilities Requirements: High level of experience in Windows OS, Microsoft Office, Adobe Acrobat Pro, and basic database and case management systems required.
Experience with filing documents in North Carolina, and federal courts (including circuit courts, appellate courts, and bankruptcy courts) and understanding of court-required rules.
Strong sense of ownership.
Flexibility and ability to balance multiple tasks and competing priorities accurately and efficiently.
Works well under pressure and has a high level of attention to detail.
Demonstrates integrity, strong client-relationship skills, the ability to use judgement, tact, discretion, and keep information confidential.
