Job Summary: Due to growth, HonorBridge is recruiting for a General Counsel.
In this role, you will be responsible for the legal affairs of the entire organization including providing counsel, recommendations, interpretations, legal advice, and guidance to HonorBridge Board of Directors, Executive and Senior leadership team members, while ensuring the appropriate consideration of strategic legal issues and risk management in achieving HonorBridge’s Mission.
The position will work with designated HonorBridge Outside Legal Counsel on issues as determined necessary by Chief Officers.
This is a hybrid in office/remote working schedule.
This individual will be required to work in our Chapel Hill, NC office 1-2 days a week.

Adheres to HonorBridge’s policies, procedures, and standards Builds caring and compassionate relationships Consistently demonstrates effective communication Promotes teamwork to ensure success at HonorBridge Serves as a legal resource and provides counsel to the Executive team, and Human Resources Provides advice in the development, implementation and enforcement of organizational policies and procedures Maintains knowledge of the organization’s operations and legal documents Serves as a real-time/on call resource to clinical staff for legal issues, which may arise during donation cases Participates in contract negotiations or approves/resolves contractual matters impacting HonorBridge Works with outside counsel or counsel assigned by insurance providers regarding possible litigation or legal administrative proceedings.
Oversees and responds to subpoena requests or requests for clinical/other records Attends HonorBridge Board of Director’s meetings Supports the Executive leadership team members and People and Culture Team in minimizing risk to the organization Manages the internal investigative process of personnel issues Assists the Director of People and Culture with employment law concerns, employment law policy creation, revision and claims (i.
e.
EEOC, unemployment hearings, etc.
) Helps oversee the implementation of the HonorBridge Conflict of Interest and Disclosure process Participates in the investigation and resolution of adverse events or other potential liabilities as requested Participates in HonorBridge internal process audits as assigned Ensure compliance with trademarks and licensing requirements.
Works with the Director of People and Culture, Director of Quality Services to establish employment related training.
Serves as a legal resource to the Board of Directors to ensure risk is understood and that the Board meets its legal responsibilities for a Section 501(c)(3), non-profit organization.
Works with the Chief Officers and the Director of Advocacy and Marketing to develop and execute legislative strategy in support of HonorBridge’s goals.
Develops rapport with hospital legal professionals to advocate for organ and tissue donation.
Drafts, reviews, negotiates, and manages contracts and approves/resolves contractual matters impacting HonorBridge.
Manages and responds as appropriately to requests for donor information and/or assists other HonorBridge Departments when needed.
Represents HonorBridge by serving as an active contributor to national industry groups on legal matters (e.
g.
AOPO, UNOS, etc.
) Conducts other duties as assigned.
What we are looking for: A Juris Doctor Degree A Member of the Bar in the state of North Carolina Minimum 5 yrs of relevant work experience Knowledge of laws, regulations, and policies (federal and state) that apply to organ and tissue donation and transplant strongly preferred Knowledge of the functions and activities of a non-profit Board of Directors; knowledge of information that must be shared with the Board to satisfy fiduciary responsibilities.
Knowledge of organ and tissue donation processes and terminology strongly preferred Knowledge of employment law and human resources management including the ability to utilize effective systems and programs to attract, retain, and develop the human resources of the organization.
Skill in thinking strategically about legal advice and its implications to operations.
Skill of preparing complex written materials including correspondence, legal briefs, legal memos, board memos, presentations, and legislative testimony to meet purpose and audience.
Skill in establishing and maintaining positive relationships with Board members, management, regulators, and a wide variety of constituencies.
Skill of dealing with diverse business problems, issues, and opportunities in which many problems exist simultaneously, the problems compete for immediate attention, and the issues are interrelated.
Skill in problem solving including the ability to identify and appropriately evaluate alternatives.
Skill in strategic planning including the ability to formalize a long-range plan for assigned functions; ability to assess internal and external factors, which have an impact on success.
Ability to make effective decisions and execute a course of action considering appropriate variables.
Ability to analyze and interpret regulatory information, determine its potential impact to the organization, and take appropriate action.
Ability to negotiate by collaborating with others to arrive at a conclusion using compromise, persuasion, rationale, and diplomacy.
Ability to be flexible to respond continuously changing situations, issues, and priorities.
