Job Description Cornerstone Building Brands (CBB) seeks an enthusiastic, hard-working, and skilled Corporate Paralegal to join the legal team, which also includes members working on Securities, M&A, Risk Management, Compliance, and ESG.
The ideal candidate is a service-oriented professional with an executive presence and strong multi-tasking and problem-solving skills who will help ensure our team is best in class.
DUTIES AND RESPONSIBILTIES Corporate Governance and Entity Management Matters, including: Collaborate with other Legal team members, as well as tax, treasury, accounting, and corporate development teams to support legal entity formation and maintenance, which may include, e.
g.
, draft qualification documents, applying for EIN, drafting corporate bylaws, operating agreements and other related entity documentation Oversee third party registered agent for legal entities and manage related accounts payable Maintain Officers and Directors lists Manage various annual state and foreign filings and reporting requirements for the legal entities Draft corporate documents, including minutes, resolutions, intercompany agreements, certificates, powers of attorney, notices, various types of letters for our tax, treasury, and other departments, etc.
Stay current on best practices in entity management, and develop templates, plans, and processes Manage all business licensing matters independently Compliance and Reporting Matters, including: Support communication and processing of entity data with multiple external and internal sources (e.
g.
treasury, tax, and accounting) Manage and follow the budget for annual global legal entity management compliance, including generating quarterly status and analysis of external provider account Contribute to the coordination of corporate documents and reporting for treasury and tax funding projects Assist with periodic reporting requirements, including as they relate to corporate entity changes, officer changes, M&A, and divestitures Assist with and respond to Know Your Client (KYC) requests from internal and external parties Run other reports as needed to support auditor requests and legal operations Assisting in creating Legal & Compliance presentations for mandatory training sessions In collaboration with other departments, support the day-to-day operations of regulatory compliance and corporate compliance programs and projects Monitoring and advising on legislative, regulatory, and corporate governance developments and their potential and actual impact on the Company Intellectual Property (IP) Portfolio Management Support, including: Assist other members of the legal team in managing trademark, patent and other IP requests from internal business stakeholders Support in liaising with external IP attorneys and internal business stakeholders the processes surrounding IP portfolio maintenance actions Collaborate with CBB legal attorneys on continuous improvement of IP management structures and processes Other: Assist with managing environmental, social & governance (ESG) processes and workflow, and work with outside counsel on ESG matters, as needs arise Assist in preparing, editing, reviewing, and organizing legal documents, legal correspondence, and communications Provide support to Company attorneys in connection with special projects and overflow responsibilities, as needed Assist with administration of equity-related projects and plans as needed Provide support for major transactions, including offerings, M&A, and strategic transactions, as needed Qualifications Customer Service Responds to customer/client requests in a professional manner Builds effective cross-functional relationships Initiative Self-motivated and takes initiative beyond routine responsibility Owns everything that comes his/her way, and is willing to roll up his/her sleeves Seeks development opportunities to enhance skills (learning mindset) Creative problem solver Work Management Works well independently Demonstrates dedication to producing quality work product Strong organization and prioritization skills, and ability to work well under pressure Dedicated to driving results and delivering to deadlines and budgets Cooperates and demonstrates flexibility when facing change Communication Interacts effectively and courteously, in person, by telephone, and in writing with attorneys, supervisors, co-workers, and other business professionals Proactively communicates the status of work Understands the need to ask questions and seek guidance Expresses thoughts accurately and concisely, both verbally and in writing Technology Willingness to evaluate and embrace novel legal operations processes and technologies, and to contribute to developing and optimizing processes and procedures to effectively support service delivery to stakeholders across CBB Technological skill learning mindset, and determines the most appropriate technology to accomplish a task efficiently Minimum Qualifications Minimum 5 years’ experience as a legal secretary or corporate paralegal General understanding of legal entity mechanics, corporate governance, and related topics Proficient in the use of Microsoft Office products Strong verbal and written communication and interpersonal skills Excellent organizational skills, attention to detail and ability to handle multiple time-sensitive tasks simultaneously Motivated, self-starter with the ability to problem solve Ability to take direction and work in a team environment Experience with board of directors meetings, working with board materials and board portals, and communicating with directors Additional Information Why work for Cornerstone Building Brands?
