" Purpose The legal function of Chiesi USA, Inc.
, led by the General Counsel, provides legal services to the company and its internal stakeholders, ensuring consistency, awareness, and coordination on emergent and sensitive matters.
Main Responsibilities Business Development: • Provides strategic guidance and legal support to the Business Development Team by participating in opportunity evaluation, complex negotiations and corporate strategy sessions.
• Manages due diligence for potential transactions with assistance of outside counsel, as needed.
• Drafts, reviews and negotiates transaction documents with assistance of outside counsel, as needed.
• Provides strategic guidance and legal support for and manages aspects of integration of licenses and transactions.
• Advises on and manages legal elements of clinical trial programs, including, but not limited to, CRO performance and contracting, site enrollment and contracting, and associated strategic legal considerations.
• Stays abreast of existing and evolving transaction and clinical trial laws and regulations.
Contracting: • Establishes detailed knowledge of and demonstrates control over internal processes and systems for the management, review and approval of all contracts with third parties.
• Reviews (and manages review from internal stakeholders) and negotiates material agreements to effectively and efficiently achieve the business objective.
• Drafts, negotiates, reviews and coordinates approval for ordinary course of business agreements such as confidentiality agreements, master service agreements, speaker agreements, commercial agreements, etc.
• Drafts notices of breach, official correspondence and contract templates for internal use.
Regulatory & Compliance: • Establishes a detailed knowledge of the compliance structure within which the company and its employees operate.
• Manages legal elements of material compliance risks, investigations or other projects and keeps department leadership and US leadership team, as appropriate, apprised of status.
• Works closely with internal stakeholders to proactively identify and resolve legal and related matters.
• Interprets laws, rulings and regulations and determines how they apply to the company.
• Prepares legal memoranda and researches legal issues as needed.
• Proactively seeks external advice where areas of potential or real exposure have been identified and documents accordingly.
Commercial and Organizational Support: • Prepares reports for Executive Management.
• Manages elements of corporate governance, including but not limited to intercompany contracting, entity establishment and dissolutions.
• Manages legal elements of employment related projects or matters and advises HR Team leadership on legal considerations related to HR initiatives.
• Assists and advises Market Access Team in contracting and related strategies for product purchases, and advises business on complex questions related to compliance with drug pricing legislation and regulation.
Actively contribute to the sustainability goals to further the impact on patients, customers, employees, community and the planet by demonstrating a shared value mindset.
Experience Required • Admission to at least one State bar • Previous transactional law experience required • Three or more years of legal experience preferred, whether as in-house counsel or in private practice • Excellent oral and written communication skills • Excellent organizational skills • Excellent preparation and presentations skills • Strong legal research skills • Ability to use standard office systems and software as well as specialized legal systems as implemented; familiarity with contract management systems is a plus • Ability to operate effectively in a fast-paced environment • Ability to meet aggressive deadlines • Demonstration of discretion and ability to maintain confidential information • Ability to focus and multi-task • Ability to work with minimal day-to-day supervision and to work closely with legal and business personnel at all levels Education • Juris Doctorate degree from an ABA accredited law school Chiesi USA is an equal opportunity employer committed to hiring a diverse work force at all levels of our business.
