Job Description:
Sands Anderson PC is expanding its Business Group and the firm is seeking experienced attorneys with portable business to join our Business and Corporate Transactions Team.
Ideal candidates will possess at least six years of experience in a business transactions practice including:
Substantial drafting experience and ability to lead significant aspects of transactions from structuring to closing and managing due diligence.
Experience handling corporate governance matters and an understanding of financing and tax aspects of transactions.
Experience servicing various types of business entities, assisting clients with the legal issues involved in raising debt and private equity capital, and advising C-Suite executives, management, and owners on legal matters.
Job Requirements:
A successful candidate will be responsible for advising corporate clients on a variety of matters including structuring, entity formation, key contracts, and the purchase and sale of businesses.
This position is also responsible for drafting and negotiating a wide variety of transaction documents involving mergers and acquisitions, asset purchases, financing, buy-sell arrangements, corporate governance and management, options, warrants, deferred compensation, plans of dissolution and liquidation, buyouts, private placement, and confidentiality and non-disclosure.
The Business Transactions Team works in conjunction with other teams in the firm’s Business Group, as client needs and matters dictate.
In addition to substantive legal knowledge and experience with all aspects of relevant law, requirements include perseverance, responsiveness to clients, appreciation for detail, and availability to work outside of typical business hours when necessary to meet deadlines.
