Position Summary
The Contracts Attorney is accountable for driving results in a fast-paced environment by drafting, reviewing, and negotiating a broad range of contracts.
This person must have strong business acumen, attention to detail, and thrive in a challenging environment.
The ideal candidate is self-motivated, capable of re-prioritizing workloads with little notice and possess a willingness to work in a fast-paced, sometimes challenging environment.
This position reports to the Assoc.
Director of Legal and will interact with appropriate business units to streamline activities that affect contracts and delivery of services to the Company.
The position focuses heavily on contract review and management of contract workflow and processes.
The position requires superior leadership behaviors of the Alcami core competencies and non-negotiables, as well as expertise in functional competencies included in this position profile.
Essential Functions · Revises, edits, and prepares redlines of complex commercial contracts, including master services agreements, laboratory service agreements, collaboration agreements, development agreements and other commercial supply agreements.
· Assists in ongoing periodic review of Company contract templates, contract playbooks, Company guidelines, and contract policies and procedures.
· Analyzes the legal and business obligations set forth within cont racts and evaluate risk or potentially unfavorable language.
· Supports commercial counsel with drafting and revising contracts, Company contract templates, Company guidelines, and Company contract policies and procedures.
· Assists in maintaining Company’s internal tracking system of all pending contracts and matters.
· Manages the Company’s contract management system and ensure on-time processing of all contracts from initial request through execution.
· Evaluates the commercial and legal risk to the Company and suggests appropriate contract structures or terms that will provide effective risk management.
· Provides support to the Company’s business units and commercial counsel as related to contracts and interpretation of contractual issues.
· Negotiates contract provisions directly with Company clients and other external parties.
· Drafts template contracts, correspondence, memoranda, and other documentation as needed.
· Ensures timely completion and compliance with cGMP and all other relevant company training requirements.
Education and Experience · Admission to state bar + minimum 2 years professional experience in a law firm or corporate setting required.
· Prior experience in a CMO/CDMO, biotechnology or pharmaceutical industry preferred, but not required.
· Experience with federal and state regulations is a plus, but not required.
· Experience with commercial leases is a plus, but not required.
